Part A — Terms of Service
1. About these terms
UGO is a family of products built and run from Buea, Cameroon: UGO | SIGNAGE (digital advertising screens), UGO | MARKET (live auctions and direct buying), UGO | ORDER (buying from overseas online shops for you), UGO | LINK (sharing USB devices over the internet), UGO | DEV (websites and web-development training), UGO | PREACH (a gospel media library), UGO | BLOG (tech tips and workshop news) and UGO | GATEWAY (sending SMS, WhatsApp messages and USSD requests through an Android phone).
In these terms, “UGO”, “we” and “us” mean the people who run these products. “You” means anyone who visits our websites or apps or uses any of the services.
By creating an account, placing an order, submitting a campaign, installing our software, sending us a message or otherwise using a UGO service, you agree to these terms. If you do not agree, please do not use the services. Sections 4 to 10 add rules for individual products; where they differ from the general rules, the product rule applies to that product.
2. Accounts and PINs
- To use Signage, Market and some other services you create an account with your name, your phone number and, for Signage, an email address, and you set a PIN or password.
- Give us accurate information and keep it up to date.
- Activation and verification codes are sent to your WhatsApp number and expire after 10 minutes.
- Keep your PIN, your password and every code we send you private. UGO staff will never ask you for them. You are responsible for what happens under your account unless you tell us promptly that someone else has been using it.
- We may suspend or close an account that breaks these terms, that is used to cheat or harm other people, or that we cannot verify when we have good reason to ask.
3. Using UGO responsibly
You agree not to:
- break the law, or help someone else to;
- upload, list or share anything you do not have the right to use;
- deceive, harass or defraud other people;
- try to break into, probe, overload or disrupt our systems, or to reach accounts that are not yours;
- copy or collect the content of our services in bulk by automated means.
We may remove content or limit access when that is needed to protect people or the services.
The Ask UGO assistant. It is an automated AI assistant and it can be wrong. It cannot place orders, take payments or change accounts, and what it says about prices, rates, delivery times or policies is not an offer or a promise: check the product page or ask the team on WhatsApp. Do not use it to try to extract the instructions it runs on, or to send it large volumes of messages; we limit how often it can be used.
4. UGO | Signage
UGO | Signage is a cloud-managed advertising platform. It lets businesses (“Advertisers”) show content on connected screens (“Screens”) across the network. By registering an account, submitting a campaign or using any part of the platform you agree to this section.
4.1 Who is who
| Role | What it means |
|---|---|
| Advertiser | A business or individual who uploads content and pays to broadcast it on Screens. |
| Screen Owner | A business or individual who runs a connected display on the UGO network. |
| Admin | UGO staff who review, approve and manage broadcasts. |
| Platform | All UGO | Signage software, APIs, dashboards and related services. |
4.2 Content rules
Advertisers are fully responsible for the content they submit. When you upload media to UGO | Signage you confirm that:
- you own the content or hold a valid licence for it (images, video, music, logos, trademarks);
- it does not infringe anyone else’s intellectual property;
- it is truthful and not misleading or fraudulent; and
- you accept sole legal responsibility for any claim arising from it.
You give UGO permission to store, copy and play your content on the network for the purpose of running your campaign.
These are not allowed:
- sexually explicit or adult material;
- content that promotes violence, hate speech or discrimination;
- political campaign material without our prior written approval;
- flashing or strobing content that could trigger photosensitive reactions;
- content that defames competitors or makes comparisons that cannot be verified;
- advertising for illegal products or services (for example unlicensed medicines or counterfeit goods);
- anything that breaks Cameroonian or applicable international law.
Prohibited content is removed immediately, any tokens spent on it are forfeited, and repeat offenders may be banned from the platform.
4.3 Media requirements
| Type | Accepted formats | Largest file | Recommended size |
|---|---|---|---|
| Images | JPG, PNG, WebP, GIF | 10 MB | 1920×1080 (landscape) or 1080×1920 (portrait) |
| Videos | MP4, WebM (H.264 / VP9) | 20 MB | 1080p or 4K, up to 60 frames per second |
- Text must be readable from at least 3 metres — use a minimum of about 48 pt.
- Keep a 10% safe margin on every edge so nothing is clipped on different displays.
- Use strong contrast between text and background.
- Videos play muted. Sound plays only on Screens whose owner has switched it on.
We may reject or remove any file that does not meet these requirements or is unsuitable for public display, without refunding the tokens used.
4.4 Approval and scheduling
- Every campaign is reviewed by an Admin before it goes live. Review is usually finished within 24 hours on business days.
- A scheduled campaign starts at its chosen time only after it has been approved. An unapproved campaign does not broadcast.
- We may reject a campaign for any reason, including prohibited content, technical problems or Screen availability.
- We tell you about an approval or rejection in your dashboard and, where possible, by WhatsApp or phone.
- You can cancel an approved campaign at any time. Unused tokens from a cancelled campaign go back to your wallet.
- We may interrupt or remove a live campaign at any time, without notice, if its content breaks these terms.
4.5 Tokens, payment and refunds
UGO | Signage uses a prepaid token wallet. You buy tokens, and tokens are used up as your content actually plays — you do not pay for time that is reserved but unused. The rate for each kind of play (playlist content per few seconds on a Screen, a campaign slot per play, or a custom arrangement for many Screens) is published in the pricing section of the UGO | Signage page. Rates can change with 7 days’ notice on the platform; a change does not affect tokens already in your wallet.
You can pay with MTN Mobile Money, Orange Money, or cash in person at our office in Buea.
Bonus tokens and credit. Where we give you bonus tokens, they are used before the tokens you bought. Some advertisers are given a credit line by UGO, which lets a campaign run before the wallet is topped up. Spend on credit is recorded as an invoice, and you must top up your wallet to clear it by the due date shown on the invoice. The size of any credit line is set by UGO.
Refunds
- Tokens used on a broadcast that was completed are not refundable.
- Tokens for a campaign we rejected before it broadcast go back to your wallet in full.
- Tokens for a campaign you cancelled before it broadcast go back to your wallet in full.
- Tokens for a campaign we interrupted because of a content violation are forfeited.
- Unused tokens in your wallet can be refunded on request within 14 days of a top-up, less a 5% processing fee. After 14 days they are not refundable.
4.6 Live URL service
Live URL lets approved advertisers show a live web page on our Screens for a set time in each playlist cycle.
- Requests need approval and must follow the content rules in section 4.2.
- You are responsible for the page loading correctly and containing nothing prohibited.
- We are not responsible for what appears inside a third-party page while it is on a Screen.
- If a page fails to load or crashes, we will try to end the slot and carry on with the playlist. We do not refund a failure caused by your page.
- The start and end times of a Live URL window are set by an Admin. The time per cycle decides how long it plays each time it comes round.
- A Live URL must not redirect to download pages, to payment pages without prior disclosure, or to anything that is not suitable for all ages.
4.7 Screen owners
If you connect a display to the UGO | Signage network you agree that:
- the Screen is publicly visible and used in a genuine commercial or public setting;
- you will not interfere with, switch off or tamper with the UGO software or the playlists;
- advertisers’ content may include third-party brands, products and services;
- any revenue sharing is agreed separately, in writing, with UGO;
- we may remove a Screen from the network at any time if these terms are broken;
- you are responsible for the Screen’s physical security, electricity and internet connection.
4.8 Viewers
Screens can show a QR code. Anyone who scans it can leave a star rating and a comment. Those responses are passed to the advertiser whose content was playing and can appear in their campaign results (see the Privacy Policy below).
5. UGO | Market
UGO | Market is a marketplace where sellers list items (“lots”) and buyers bid on them or buy them directly.
5.1 Selling
- Free accounts can list up to 2 items per week. To sell more, you apply to become a seller: our staff review your application, which includes an identity document you upload, usually within 24 to 48 hours. You can keep listing up to 2 items a week while you wait; approved sellers have no weekly limit.
- Only list items you own or are allowed to sell. Describe them accurately and use your own photos.
- Stolen, counterfeit and illegal items are not allowed. We may remove any lot and close any seller account.
5.2 Bidding and buying
- Bid only on items you intend to buy. You can set a maximum amount and the system will bid for you up to it.
- When an auction closes, the highest valid bid wins and an order is created for the winner.
5.3 How escrow works
The payment for an order is held in escrow. In plain terms: the seller is not paid until the buyer confirms delivery or a dispute has been settled. When delivery is confirmed (or we resolve a dispute), the payment is released, and the seller can then ask for a payout to their mobile money account.
Escrow protects how the payment moves. It does not mean that UGO inspects, insures or guarantees any item.
5.4 Fee
UGO charges a platform escrow fee on each sale, currently 5% of the winning amount. It comes out of the seller’s side: the seller’s payout is the winning amount less the fee. If the fee changes we will say so on the platform.
5.5 Problems and disputes
If an item is not delivered or is not as described, the buyer or the seller can open a dispute on the order. While a dispute is open the payment stays held. We look at what both sides tell us and show us, decide how the payment should be released or returned, and tell you the outcome. This does not take away any right you have under the law.
5.6 Payouts
Once a payment is released, it is paid out to the mobile money number you have on file. If that does not happen automatically, you can submit a payout request from your account. Delays on the mobile money provider’s side are outside our control. You can also export your Market data or ask us to delete your account from the Market privacy page; see also your choices in the Privacy Policy.
6. UGO | Order
UGO | Order buys items for you from overseas online shops (Taobao, 1688, AliExpress, Amazon and others), checks them when they reach us, and delivers them to you in Cameroon.
- You send us a link or photos of what you want, and your contact and delivery details. We agree the details and the price with you.
- You can follow your order on the tracking page with your reference.
- Delivery times are estimates. Suppliers, couriers and customs are outside our control and we are not responsible for delays they cause, but we will keep you informed.
- You can collect your order in Buea or ask for delivery. Tell us as soon as you receive an item if it is damaged or is not what you ordered, and send photos, so that we can look into it with you.
7. UGO | Link
UGO | Link is Windows software that lets you share a USB device with another computer over the internet.
- How it connects. Our server introduces the two computers by matching their PINs. After that the software tries to connect them to each other directly — over your local network, or peer to peer over the internet. We do not ask for, and do not store, the contents of your USB device.
- Your responsibilities. Keep your pairing PIN private. Share only devices you are allowed to share, and use the software lawfully. The software installs a driver, so install it only on computers you own or are allowed to change.
- Launch promotion. Some features are free during a launch promotion. The promotion can end or change; what you get is described on the UGO | LINK page when you sign up.
- As is. The software is provided as it is. Do not rely on it where a failure could cause harm.
8. UGO | Dev
UGO | Dev builds websites and brand designs and runs web-development training (one-on-one sessions, cohort classes and weekend bootcamps). The details of each project or course — what is included, the price and the schedule — are agreed with you directly, and those agreed details together with these terms are the arrangement between us.
You keep ownership of the content and materials you give us, and you must have the right to give them to us.
9. UGO | Preach and UGO | Blog
- Preach is a library of sermons, devotionals, events and ministries for your personal, non-commercial use. The content belongs to the ministries and people who made it; do not copy it, re-publish it or use it commercially without their permission. Some videos play from YouTube, which has its own terms and privacy policy.
- Blog publishes articles by UGO and, where we accept them, by readers. If you send us a post or suggestion you confirm that it is yours or that you have permission to share it, and you let us publish, edit for length and clarity, or decline it.
10. UGO | Gateway (draft)
Draft: not yet reviewed. This section was written from how UGO | Gateway works today. It has not been checked by the owner or by a lawyer, and it can change before Gateway opens to everyone. Gateway is in early access: it is offered by agreement with us.
UGO | Gateway lets a business send SMS messages, WhatsApp messages and USSD requests from its own software. The software puts a job in a queue on our server, and the UGO | Gateway app on an Android phone picks the job up and sends it.
10.1 Who is who
- You are the business that uses Gateway. The gateway phone is the Android phone, its SIM and its WhatsApp account that send your messages. It is yours, or you run it for someone else. UGO does not supply a phone, a SIM or a phone number.
- Recipients are the people you message. They have no agreement with UGO. You decide who is messaged and what is sent, so you, not UGO, are the sender of every message that leaves your phone.
- We run the queue, the API and the app, and show you the result of each message.
10.2 What you may send
On top of section 3, you agree to use Gateway only to send messages that the person expects or has agreed to, such as one-time codes, order and repair updates, reminders and replies. You must not use it for:
- bulk marketing, spam, or any message the recipient did not ask for or has asked you to stop;
- scams, phishing, threats, harassment, or messages that pretend to come from someone else;
- asking people for a PIN, a password or payment details, or sending a USSD request on an account you are not allowed to operate;
- anything that breaks the law, or the rules of your mobile operator or of WhatsApp;
- emergency or safety-critical messages, because delivery cannot be guaranteed.
We may pause or switch off a phone, an API key or all of your access at once if we think these rules are being broken or the service is being harmed.
10.3 SMS, your SIM and your operator
SMS messages and USSD requests travel over the SIM in your gateway phone, so your operator’s prices, limits, blocks and terms apply to them. Android may also limit how many texts an app can send, or ask for confirmation. We are not responsible for SIM credit that is used, for a number or SIM that the operator blocks or slows down, or for texts that do not arrive.
10.4 WhatsApp
WhatsApp messages go out from a WhatsApp account linked to your gateway phone. They do not use WhatsApp’s official business service. WhatsApp’s terms do not allow this kind of use, so WhatsApp can restrict or ban that number at any time and without warning. By sending WhatsApp messages through Gateway you accept that risk. Use a number you can afford to lose, and keep to messages people expect. We are not responsible for a restricted or banned number, or for the chats and contacts lost with it.
10.5 USSD and mobile-money requests
- Gateway dials a code and types the answers you list into the operator’s menu, in order, then gives you the final message. Menus differ between operators and phone brands and can change without notice, so a flow that works today can stop working. Test every flow with a small amount before you rely on it.
- You are responsible for every code, amount, recipient number and PIN you send. We do not check them and we cannot undo a transaction. UGO is not a party to a mobile-money payment; the operator’s terms govern it.
- Answers you send for a USSD menu, which can include a PIN, are removed from our queue as soon as the job ends. While the job runs they pass through our server and your phone. Use a PIN only for an account you are allowed to operate.
- The app’s accessibility permission reads the phone’s USSD dialog only while a USSD request is running.
10.6 Delivery and limits
- “Sent” means that the phone’s system (for an SMS) or WhatsApp’s server (for a WhatsApp message) accepted the message. It does not mean that the recipient received it, read it or acted on it.
- If the phone is off, offline or out of credit, messages wait. A message that cannot be sent is tried again a few times and then marked failed, with the reason. A scheduled message is sent at its time, not before.
- One phone can send only so many messages. During early access we may set limits on volume and speed, and change them.
- Section 12 (availability) and section 13 (limits on our liability) apply. In particular, we are not responsible for lost sales, missed appointments or other loss caused by a message that was late, lost or not sent.
10.7 Keys, access and price
- Keep your API key and your gateway phone secure. You are responsible for every message sent with them. Tell us at once if either is lost, so that we can switch the phone off.
- Early access can be ended by you or by us. Prices are not published yet: what you pay, if anything, is agreed with you before you start, and section 11 applies to payments.
10.8 Recipients’ information
The phone numbers and message text you send through Gateway are personal information about your recipients. You must have the right to contact them and to give us their numbers for this purpose. We use them only to deliver the message and to show you its result, and we keep them as described in the privacy policy (P2 and P7).
Payments, availability and liability
11. Payments
- Prices and amounts are in Central African CFA francs (XAF).
- Payments by MTN Mobile Money or Orange Money are handled by those providers under their own terms. UGO never sees your Mobile Money PIN.
- Check the phone number and amount before you confirm a payment. If you pay the wrong number or amount, contact us straight away and we will help where we can.
- We keep a record of each payment.
12. Availability
We run UGO on a best-effort basis. We do not guarantee that a service will always be available or that broadcasts will never be interrupted.
- Maintenance can interrupt a service. We try to do it at quiet times and to tell you in advance where we can.
- Internet outages at a Screen can cause gaps. UGO | Signage keeps content on the device to reduce the effect.
- We are not responsible for interruptions caused by power cuts, other companies’ internet failures, device faults or events outside our control, and we do not give credits or refunds for them.
- We may change or stop a feature. Where it is reasonable we will tell you first.
13. Limits on our liability
To the fullest extent the law allows:
- UGO is not responsible for lost income, missed advertising opportunities or damage to reputation caused by interruptions, rejected campaigns or downtime;
- advertisers and sellers protect UGO against claims, losses and legal costs that come from their content or listings, including intellectual-property disputes; and
- our total responsibility to any one customer in any 12-month period is limited to the amount that customer paid UGO in that period.
Nothing in these terms limits a responsibility that the law does not allow to be limited.
14. Changes to these terms
We may update these terms. A change takes effect from the date shown at the top of this page. If a change affects Signage prices or refunds, we will tell you on the platform at least 7 days beforehand. If you keep using UGO after a change takes effect, you accept the updated terms.
15. Governing law and disagreements
These terms are governed by the laws of Cameroon. If we disagree about something, we will both first try to settle it by talking directly: reach us on WhatsApp, by phone or at our office in Buea.
Part B — Privacy Policy
P1. Who we are and what this covers
UGO is a family of products built and run from Buea, Cameroon. This policy explains what personal information we collect through our websites, apps and software, why we collect it, who can see it, and the choices you have. It covers every UGO service. How to reach us is at the end.
P2. What we collect
| When you… | We collect |
|---|---|
| Send us a message (contact form) | Your first and last name, phone or WhatsApp number, email (if you give one), what you are interested in, and your message. |
| Create a Signage account | Name, phone number, email, a PIN (stored in a protected form we cannot read back), what you tell us about your business, the images and videos you upload, your campaigns, your wallet top-ups and token use, and the payment reference from the mobile money provider. |
| Scan a QR code on a Screen | The star rating and comment you leave, and which Screen and campaign they belong to. We do not ask for your name or phone number. |
| Use Market | Name, phone number, a password (stored in a protected form), your bids, watchlist, orders, disputes and ratings, and your payout details. To sell, you also upload an identity document and fill in an application. |
| Place an Order | Name, phone number, city and delivery address, the links and photos of the items, your notes, how you heard about us, and your order history. |
| Use Link | Your name and phone number when you claim a pairing PIN, the PIN (stored in a protected form), and the technical details needed to introduce your two computers to each other. We do not ask for the contents of your USB device. |
| Use Gateway (draft wording) | What you tell us when you ask for access. For each message: the recipient’s phone number, the text (or the USSD code), your reference, its status and any error, and for USSD the operator’s answer. The name of each gateway phone and when it last contacted us. Answers typed into a USSD menu, which can include a PIN, are removed when the job ends. The people you message have no account with us and their numbers reach us only because you send them (section 10.8). The Gateway app on your phone also keeps a short record of the messages it handled for 24 hours. |
| Ask UGO | Dev for a project | Name, phone, email, the service you want, your message and any material you send us. |
| Send something to the Blog | Your phone number and your message or post. |
| Ask the AI assistant (Ask UGO) | The messages you type to it and the page you were on. We do not keep the conversation: it stays in your browser tab until you close the tab or start a new chat. To limit use, our server keeps short-lived counters made from your IP address in scrambled (hashed) form. |
| Visit any page | Like most websites, our servers log your IP address, browser type, the pages requested and the time. To stop spam, the contact form also keeps short-lived counters made from your IP address and phone number in scrambled (hashed) form. |
We also keep a record of the messages we send you, such as codes and order updates.
P3. How we use it
- To provide what you asked for: accounts, campaigns, orders, auctions, installations, projects and replies.
- To contact you about it: codes, approvals and rejections, order status, and answers to your enquiries, mostly by WhatsApp and phone.
- To take payments and keep records of transactions.
- To keep UGO safe: preventing fraud, abuse and spam, verifying sellers and settling disputes.
- To see how the services perform overall. This is done in aggregate and does not identify you.
- To meet legal obligations.
We do not sell or rent your personal data, and we do not share it with third parties for marketing.
P4. Who we share it with
- The UGO team. Staff, technicians and administrators who run our systems can see what they need to do their work.
- Advertisers. Viewer ratings and comments are shared with the advertiser whose content was playing, and can appear in that advertiser’s campaign results.
- Buyers and sellers on Market. They may see what is needed to complete a sale, such as a name and delivery details.
- Service providers. MTN Mobile Money and Orange Money process payments and payouts. WhatsApp carries the messages we send you, and WhatsApp’s own privacy policy applies to them. Our hosting provider stores the data.
- Mobile operators and WhatsApp (Gateway, draft wording). Messages sent through Gateway are carried by your operator and, for WhatsApp messages, by WhatsApp. They see the recipient’s number and the message under their own policies.
- Our AI provider. If you use the Ask UGO assistant, what you type, the earlier messages of that chat and the page you are on are sent to Anthropic, which writes the reply for us. Anthropic’s own privacy policy applies to what it receives. Please do not type passwords, PINs, mobile money details or card numbers into the chat.
- Libraries and media your browser loads. Our pages load fonts, icons and styling from Google Fonts, Cloudflare’s cdnjs and the Tailwind CDN, and Preach plays videos from YouTube. Your browser contacts these companies directly, so they can see your IP address. Opening a map link takes you to Google Maps.
- When the law requires it, or to protect people’s safety and rights.
P5. Cookies and local storage
We do not use advertising or tracking cookies, and we do not run analytics tools. We store a few things in your browser so the services work: your light or dark theme, your sign-in session so you stay signed in, the reference of an order in progress, your conversation with the Ask UGO assistant (kept only until you close the browser tab), and cached pages so some apps keep working offline. You can clear these in your browser settings; signing out clears your session. A YouTube video may set its own cookies when you play it.
P6. Security
PINs and passwords are stored in a protected (hashed) form, so even we cannot read them. Our websites use HTTPS, and access to our systems is limited by role. Identity documents you upload to become a Market seller are used to verify you. No online service is completely secure, so we cannot promise absolute security. If you think someone else has used your account, tell us at once.
P7. How long we keep it
We keep information for as long as we need it for the purposes above, or for as long as the law requires — for example, payment and order records. When we no longer need it we delete it or remove what identifies you.
Gateway (draft wording). Messages that have been sent or have failed are deleted from our queue after about 30 days; the clean-up runs as the service is used, so it is not to the day. USSD answers are removed when the job ends.
P8. Your choices
- You can ask what we hold about you, ask us to correct it, or ask us to delete your account data. We process deletion requests within 14 business days. Market users can also download their data and send a deletion request while signed in, from the Market privacy page. We cannot process a Market deletion request while you still have active orders, listings, bids or disputes — settle those first.
- We may need to keep some records, such as payments and open disputes, even after you ask. We will tell you if that applies.
- You can ask us to stop contacting you. We will stop optional messages; we may still send essential ones, such as a code you have just asked for.
- We may ask you to prove who you are before we show or delete anything.
P9. Changes and contact
We may update this policy. The date at the top of this page shows when it last changed, and we announce important changes on the platform.
For questions about these terms, about your information, for deletion requests or content complaints:
- WhatsApp or call +237 678 000 555
- Use the contact page
- Visit us: Clerk’s Quarters, Buea, Cameroon — opposite the White House, above the former Njeforbe Bakery. Open Tuesday to Saturday, 9:30 AM–7:30 PM; closed Monday and Sunday.
